SOUTH WEST BRASS BAND ASSOCIATION
MINUTES OF THE 65TH ANNUAL GENERAL MEETING HELD ON SUNDAY 27TH MARCH 2011 AT THE OKEHAMPTON CONERVATIVE CLUB, MILL ROAD, OKEHAMPTON COMMENCING AT 1145 AM
1/11 PRESENT: Raymond Kingdon (Chairman), Vivian Willcock (Vice-Chairman), Brian Elliott (Secretary/Registrar), Keith Gibbs (Treasurer), John Croker (Minute Secretary), Frances Calver (Trophy Officer).
Bands Represented: Appledore, Bideford Town, Callington Town, Holsworthy Town, Launceston Town, Lympstone SW Telecoms, Okehampton Excelsior, Storm Brass, South Molton Town, St Breward Silver, St Dennis.
2/11 APOLOGIES FOR ABSENCE: Goff Richards (President), Bert Buzza (Life Associate) Honiton, Newton Abbot & District, Totnes, St.Austell Bands
3/11 WELCOME: Chairman welcomed Keith Anderson an accountant and advisor to the Association for the transference to a Limited Company.
4/11 MINUTES of the Annual Genera Meeting held on 7th March 2010 were approved and signed as a correct record
5/11 REPORT FOR THE YEAR ENDING 31.12.2010: was prepared by the Secretary on behalf of the Executive Committee and was adopted by the meeting unanimously. Proposed by Callington seconded by Soundhouse. Chairman thanked Secretary for comprehensive report.
6/11 ACCOUNTS FOR THE YEAR ENDING 31.12.2010
Theses were presented by the Treasurer Keith Gibbs in a very detailed way. He explained that this was the second year the Association had made a profit after losses in the previous 4 years, thanks to the hard work of the finance sub committee, their recommendations had achieved the desired results.
The Chairman thanked the Treasurer and the finance sub-committee members for their hard work. Proposal from St Breward and seconded by Camelford that the accounts be adopted. The meeting voted unanimously to adopt.
7/11 HONORARIA to stay the same
8/11 ANNUAL SUBSCRIPTION Executive Committee recommend that there be no increase for the year 2010. Proposed Callington Seconded Camelford. Carried unanimously.
9/11 LIMITED COMPANY
(a) Approval to register with Companies House. Reference Minute 14/10 of AGM 2010 to approve retrospectively the registering with Companies House on 11th March 2010 the South West Brass Band Association Limited a company limited by guarantee. Proposed by Lympstone and seconded by Storm Brass. Carried unanimously.
(b) To approve appointment of Directors. The Officers and Members of the Executive Committee as elected at this and subsequent Annual General meetings. A total of 10 Directors. Proposed South Molton seconded Callington. Carried unanimously.
(c) To approve and adopt the amended Memorandum and Articles of Association. Incorporating the Association’s Constitution dated 25th February 2007. Secretary noted that certain items need to be taken out such as all reference to contests and gradings. As these amendments have only just been announced delegates stated that they were unable to vote on amendments which had not been seen. Voting by proxy not allowed. It was agreed to place on the website the amended Memorandum and Articles of Association so that members could vote by post. Proposed by Soundhouse that proxy voting be allowed with immediate effect seconded by Storm Brass. All agreed. Draw attention to above in newsletter. Bands to be altered to website by email those who do not have email address will be advised by post.
(d) Child Protection Policy. This statement which was dated 25th February 2007 will be subject of a separate reference document.
10/11 ELECTION OF OFFICERS AND EXECUTIVE COMMITTEE 2011/2012

Election proposed by Storm Brass seconded by Lympstone. All in favour. Committee were anxious to point out that younger members were required for the Committee or to help at events. Viv Willcock stressed that the Committee was not a closed shop and any Committee member would step down if younger persons came along.
11/11 HONOURARY AUDITOR
Meeting unanimously re-appointed Arthur Rundle.
12/11 COUNCIL OF WEST OF ENGLAND BRASS BAND ASSOCIATIONS
The Executive Committee recommend that the following continue as delegates to the council – Brian Elliott, Ray Kingdon, and Vivian Willcock. Substitute delegate to council any member of the Executive Committee. Passed unanimously.
13/11 ARTHUR BEDWELL MEMBORIAL TRUST
The Executive Committee recommend that the trustees be Frances Calver, John Croker and Anne Luxton. All in agreement.
14/11 CORNWALL YOUTH BRASS BAND Charitable Limited Company.
Executive Committee recommends that Vivian Willcock continue as a representative of the Association. All agreed.
15/11 CHILD PROTECTION OFFICER
The Executive Committee recommends that Anne Luxton be re-elected as the Association’s Child Protection Officer. Unanimously approved.
